Welcome to Novel Solutions (“Company”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of nsplug.com (the “Website”) and the purchase of products and services offered through it.

By accessing this Website or purchasing any product, you agree to be bound by these Terms.

Software products, including NS AIChatbot for Magento 2, are governed by a separate End User License Agreement (EULA), which takes precedence in the event of any conflict.

3. Eligibility

By using this Website, you confirm that:

  • You are at least 18 years old

  • You have the authority to enter into binding agreements

  • You are using the Website for lawful purposes only

4. Digital Products & Software Licensing

All software products sold on this Website are:

  • Digital goods delivered electronically

  • Licensed, not sold

  • Subject to the applicable License Agreement (EULA)

The EULA governs:

  • License scope

  • Usage rights

  • Source code access

  • Restrictions

  • Support and updates

Nothing in these Terms overrides the EULA.

5. Orders & Payments

  • All prices are listed in USD unless otherwise stated

  • Payments are processed securely through third-party payment providers

  • You are responsible for any applicable taxes, duties, or fees

We reserve the right to:

  • Refuse or cancel any order

  • Correct pricing or listing errors

  • Limit quantities per purchase

6. Subscriptions, Automatic Renewal & Cancellation

Certain NSPlug products may be offered as automatically renewing subscriptions. The applicable billing period, recurring price, included benefits, and any available one-time purchase option will be displayed on the product page and during checkout.

Automatic renewal

By purchasing a subscription product, you expressly authorize Novel Solutions and its payment processor to charge the payment method provided at checkout for the initial purchase and each recurring renewal payment, together with any applicable taxes.

Unless cancelled before the next renewal date, a subscription automatically renews for the same billing period shown at checkout. For example, an annual subscription renews once each year.

If the renewal price changes, we will provide any advance notice required by applicable law. Any renewal notice will identify the subscription and explain how to review or cancel it.

Cancellation

You may cancel an active subscription at any time through My Account → Subscriptions → View Subscription → Cancel.

Cancellation prevents future renewal charges. It does not end the subscription immediately or automatically refund amounts already paid. Unless otherwise stated, the associated license, updates, and support remain active until the end of the current paid billing term.

Refund eligibility for initial or renewal payments is governed by our Refund and Returns Policy and applicable law.

Subscription-license benefits

While a subscription is active and paid, the customer is entitled to the license benefits stated on the applicable product page, which may include:

  • Use on the permitted number of licensed domains
  • Software updates
  • Support
  • Downloads
  • New activations
  • Subscription-only features or services

At the end of the paid term, updates, support, downloads, new domain activations, and subscription-dependent services may end. Continued use of an already installed version, if permitted, remains subject to the applicable End User License Agreement and the terms shown for that product.

A subscription license may not be shared, transferred, resold, or used on more domains than the purchased plan allows.

Failed or declined renewal payments

If a recurring payment fails or is declined, we or our payment processor may retry the charge and notify you of the payment problem.

During a payment-recovery or grace period, the subscription or license may be placed on hold. If payment is successfully recovered, normal subscription benefits will be restored. If payment is not recovered, the subscription and related license benefits may expire at the end of the applicable paid term or grace period.

Customers are responsible for maintaining a valid payment method and accurate billing information in their account.

Payment processors

Subscription payments are processed by third-party payment providers, including Braintree and its supported payment methods. Novel Solutions does not directly store complete payment-card details.

Use of a third-party payment service may also be subject to that provider’s terms and privacy practices.

One-time licenses

Where a product offers both subscription and one-time purchase options, the customer may select either option before adding the product to the cart.

A product described as a one-time or “lifetime” license provides a perpetual right to use the licensed software on the permitted domain or domains, subject to the applicable End User License Agreement. It does not include lifetime support, lifetime updates, third-party services, AI-provider usage, hosting, installation, or future paid features unless expressly stated.

The support and update period included with a one-time license is the period displayed on the product page or order confirmation.

Trials and promotions

If a product is offered with a free trial, discounted introductory period, or promotional subscription price, the applicable duration, payment date, renewal price, and cancellation method will be disclosed before checkout.

Unless expressly offered on the applicable product page, no free trial is included.

8. Installation & Professional Services

Some products may include installation, configuration, or consulting services.

  • Services are provided “as-is”

  • Delivery timelines depend on customer responsiveness and access

  • Services do not alter license rights or refund eligibility unless explicitly stated

9. Third-Party Services & APIs

Our products may integrate with third-party services, including but not limited to OpenAI.

You acknowledge that:

  • Third-party services are governed by their own terms and pricing

  • Novel Solutions does not control or guarantee third-party services

  • Any fees paid to third parties are non-refundable by Novel Solutions

10. Intellectual Property

All content on this Website, including:

  • Text

  • Graphics

  • Logos

  • Code snippets

  • Marketing materials

is the property of Novel Solutions and may not be copied, reproduced, or distributed without written permission.

Software intellectual property rights are governed by the applicable EULA.

11. Prohibited Use

You agree not to:

  • Use the Website for unlawful purposes

  • Attempt to reverse engineer or exploit Website infrastructure

  • Circumvent security or access controls

  • Use the Website or products to develop competing offerings

12. Disclaimer of Warranties

We disclaim all warranties, including:

  • Merchantability

  • Availability or uptime

AI-generated outputs are inherently probabilistic and may contain inaccuracies.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Novel Solutions shall not be liable for indirect, incidental, or consequential damages

  • Total liability shall not exceed the amount paid for the product or service

This includes loss of profits, data, or business interruption.

14. Indemnification

You agree to indemnify and hold harmless Novel Solutions from any claims, damages, or liabilities arising from:

15. Termination

Termination does not affect:

  • Existing license rights under the EULA (unless terminated under the EULA)

  • Payment obligations
