1. License Grant

Upon purchase, Novel Solutions grants you a non-exclusive, non-transferable, perpetual (lifetime) license to use the Software under the terms of this Agreement.

This license allows you to:

  • Install and use the Software on one (1) Magento installation per license

  • Access and modify the source code for your own business use

  • Use the Software in a production or staging environment related to the licensed store

2. License Scope & Restrictions

You may:

  • Modify the Software for internal business use

  • Use the Software for commercial purposes on your licensed Magento store

  • Create backups for personal use

You may NOT:

  • Redistribute, resell, sublicense, lease, rent, or share the Software or source code

  • Publish the Software or any derivative work as a competing product

  • Use the Software in a software-as-a-service (SaaS), marketplace, or multi-tenant environment

  • Remove or obscure copyright or license notices

  • Share the Software with third parties outside your organization

3. Lifetime License Clarification

“Lifetime license” means:

  • The license does not expire

  • No renewal or recurring license fees are required

  • The license remains valid for the lifetime of the Software product

It does not guarantee:

  • Lifetime support

  • Lifetime updates

  • Compatibility with future Magento versions beyond reasonable maintenance periods

4. Updates & Support

  • Free updates and support are included for one (1) year from the purchase date

  • After one year, support and updates may require a separate paid support plan

  • Security or critical bug fixes may be provided at our discretion

5. Installation & Configuration

Free installation and configuration may be included as part of the purchase.

  • Installation services are provided “as-is”

  • Installation timeframes depend on customer responsiveness and access

  • Installation services do not alter license terms

6. Third-Party Services & APIs

The Software may integrate with third-party services, including but not limited to OpenAI.

You acknowledge and agree:

  • Third-party services are governed by their own terms and pricing

  • Novel Solutions does not control or guarantee third-party availability

  • You are responsible for all third-party fees, usage, and compliance

7. Ownership & Intellectual Property

  • The Software is licensed, not sold

  • Novel Solutions retains all rights, title, and interest in the Software

  • All intellectual property rights remain the exclusive property of Novel Solutions

8. Refunds & Termination

Refunds are governed by our Return & Refund Policy.

This license will terminate automatically if you:

  • Violate any terms of this Agreement

  • Engage in redistribution or resale of the Software

Upon termination, you must:

  • Cease use of the Software

  • Remove the Software from all environments

9. Disclaimer of Warranties

The Software is provided “AS IS” and “AS AVAILABLE”, without warranty of any kind.

Novel Solutions disclaims all warranties, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy or reliability of AI-generated content

10. Limitation of Liability

To the maximum extent permitted by law:

  • Novel Solutions shall not be liable for any indirect, incidental, special, or consequential damages

  • Total liability shall not exceed the amount paid for the Software

This includes, but is not limited to:

  • Loss of revenue or data

  • Business interruption

  • AI-generated inaccuracies

  • Third-party service failures

11. Indemnification

You agree to indemnify and hold harmless Novel Solutions from any claims, damages, or liabilities arising from:

  • Your use of the Software

  • Your modification of the Software

  • Your violation of this Agreement

  • Your use of third-party services

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Novel Solutions regarding the Software and supersedes all prior agreements or understandings.
